TRANSACTION COORDINATOR AGREEMENT

This Transaction Coordinator Agreement is entered into by Bay Area Transaction Management, LLC (Transaction Coordinator or TC) and AGENT on date of submission.

 

This Agreement governs the Real Estate Transactions on ALL properties submitted by Agent.


Bay Area Transaction Management, LLC will act ONLY as the Transaction Coordinator on the submitted property. Bay Area Transaction Management, LLC is NOT acting as a Broker and/or Agent with regards to the submitted property transaction and therefore is not responsible as such. It is ultimately the responsibility of the Agent to negotiate contract terms, communicate with the parties and/or legal counsel relative to any disputes.

 

As Transaction Coordinator, Bay Area Transaction Management, LLC, agrees to:

1)      Exercise reasonable effort and due diligence on Services offered.

2)      Enter all new Transactions within 2-4 business hours of receipt. Submitted Transactions received after 3:30pm during business hours may not be processed until the following business day. Any incomplete submissions will be held unprocessed until all required information is received. Listing shall require at least 24hours advance notice.

3)      Copy Agent on email communication regards Agent’s Transaction. TC requests that the Agent do the same, especially with information that may change the direction or status of the Transaction.

4)      Only act upon the direction the Agent provides.

5)      Keep confidential information, which is not readily available to the public, belonging to Agent and its Clients, including but not limited to trade secrets, market analysis, customer/lead lists and know-how, manner and methods concerning the business and property of the Agent.

 

AGENT acknowledges receipt of said Services Sheet provided and agrees to:

1)      Complete all other aspects of the transaction, work with the buyer/seller and ensure cooperation with the Bay Area Transaction Management, LLC Transaction Coordinator assigned to this transaction.

2)      Ultimately be responsible for acquiring the appropriate signatures of all parties involved in the transaction and returning the documentation to the Bay Area Transaction Management, LLC Transaction Coordinator.

3)      Abide by all state and federal laws applicable to this type of transaction and that they are duly licensed by the appropriate entities. 

4)      FEE: To pay the sum agreed upon to Bay Area Transaction Management, LLC as Transaction Coordinator Fee for the services rendered and provided in the Services Sheet. 

  • Contract to Close - Fee is due at closing IF the transaction closes.

  • Entering a Listing into MLS (ONLY) - Fee is due when the listing becomes Active. 

  • Listing Management - Due at Closing in addition to Contract to Close Fee (If listing cancels, withdraws, expires, and does not renew, fee becomes due immediately)

5)      To release Bay Area Transaction Management, LLC and its Transaction Coordinators from any and all liabilities that may arise by virtue of this real estate transaction and broker further agrees to indemnify, defend and hold Bay Area Transaction Management, LLC harmless from all claims, disputes, litigation, judgments, and attorney fees that may arise in connection with this transaction and also from any incorrect information supplied by third parties to Bay Area Transaction Management, LLC, or from any material facts that third parties know but fail to disclose to Bay Area Transaction Management, LLC
